Terms & Conditions for Affiliate Programs

1. Introduction

These Terms and Conditions govern your participation in the Herbal Chakra Private Limited ("Herbal Chakra") Affiliate Program, specifically for the brand "Purely Yours." By signing up for the Affiliate Program, you agree to abide by these terms, ensuring a mutually beneficial partnership.

2. Scope of Work

- As an affiliate marketer ("Affiliate"), you are authorized to promote "Purely Yours" products through various channels, including but not limited to word of mouth, YouTube blogs, Meta (Facebook & Instagram), Quora, etc.
- Affiliates must direct sales through the website www.purelyyours.com using a unique code or referral link. Only sales made through these means, which are successfully delivered and accepted by the end customer, will be considered a "Successful Sale."
- Affiliates will get a margin (“Affiliate Margin”) on a Successful Sale. For the avoidance of doubt, returned or undelivered orders will not qualify for Affiliate Margin.

3. Payment Terms

- For every Successful Sale, Affiliates will earn an Affiliate Margin which will be a percentage of the listed product price on the site www.purelyyours.com (“Site”). The listed product price on the Site shall be the maximum retail price of the product minus the discount applicable on the Site (“Site Discount”). The exact Affiliate Margin percentage will be communicated upon your program enrollment.
- From the Affiliate Margin, Affiliates may choose to offer an additional discount (“Affiliate Discount”) to their clients over and above the Site Discount. In such a scenario, the Affiliate Discount shall be deducted from the Affiliate Margin. For the avoidance of doubt, the Affiliate Discount cannot exceed the Affiliate Margin.
- Affiliate Margin payments net of Affiliate Discount will be processed within 7 days of receipt of payment of Successful Sale from the end customer.

4. Term & Termination

- This agreement is at-will, meaning either party can terminate the agreement at any time, for any reason, without prior notice.

5. General Conditions

- Independent Contractors: Affiliates and Herbal Chakra operate as independent contractors, with no joint ventures, partnerships, employment, or agency relationships being established by this agreement.
- Severability: If any provision is deemed invalid or unenforceable, the remaining terms shall still apply.
- Confidentiality: No public announcements or disclosures about the partnership or its specifics should be made without mutual written consent.
- Intellectual Property: No intellectual property rights are transferred under this agreement, except as expressly written and agreed upon.
- Governing Law & Dispute Resolution: Disputes will be resolved through arbitration in New Delhi, India, per the Indian Arbitration and Conciliation Act, 1996.
